Stockist Agreement

This Stockist Agreement is between Joanna Hiu Sin Nen (ABN 44 769 221 211), trading as Joanna Hiu Artist ("we", "us", "the Artist") and the stockist named below ("you", "the Stockist").

1. The Agreement

By placing a stockist order, you agree to the terms of this Agreement. This sets out the terms under which you may purchase and resell products created by Joanna Hiu Artist.

2. Products

Products available for stockist purchase will be agreed in writing at the time of each order. Availability may vary and we reserve the right to limit quantities or discontinue any product.

3. Wholesale Pricing and Minimum Order

Wholesale pricing is provided separately. A minimum order value may apply and will be specified at the time of your order. All prices are in AUD.

4. Payment

Payment is due in full upon receipt of invoice unless otherwise agreed in writing. We reserve the right to withhold supply until payment is received. For overdue accounts (more than 14 days past due), we reserve the right to charge interest or suspend the arrangement.

5. Shipping and Delivery

Orders will be dispatched within our standard processing timeframe. Shipping costs are at the Stockist's expense unless otherwise agreed. We are not responsible for loss or damage in transit once goods have been handed to the delivery provider.

6. Minimum Retail Price

You agree to sell Joanna Hiu Artist products at or above the recommended retail price (RRP) we provide. Products must not be discounted below RRP without our prior written consent. Persistent discounting without permission may result in termination of this Agreement.

7. Presentation and Branding

Products must be displayed in a way that reflects the quality and positioning of the Joanna Hiu Artist brand. Products must not be altered, repackaged, or combined with other products in a misleading way.

You may use images we supply or approve in writing to promote products in your store or online. Images must not be edited in ways that change the appearance of the products. Credit to Joanna Hiu Artist should be included where practical.

8. Intellectual Property

All intellectual property in the products, including design, artwork, photography, and branding, remains the sole property of Joanna Hiu Artist. This Agreement does not transfer any intellectual property rights to you. You may not reproduce or imitate our designs.

9. Exclusivity

This Agreement is non-exclusive unless agreed otherwise in writing. We may supply the same products to other stockists.

10. Returns

We're unable to accept returns for change of mind or over-ordering. If a product arrives damaged or faulty, please notify us within 48 hours with photos. We will assess the situation and, if we choose, offer a replacement or credit.

11. Termination

Either party may end this Agreement with 30 days’ written notice. We may terminate immediately if:

You fail to pay any invoice within 14 days of the due date

You sell our products below RRP without permission

You breach any material term of this Agreement

You misuse our branding or intellectual property

Outstanding invoices remain payable upon termination.

12. Governing Law

This Agreement is governed by the laws of Western Australia, Australia.
